Terms and conditions of sale

01Purpose and scope

These terms govern the use of this website and the sale of GeoMate licences by GeoMate Solutions, a division of DIVINE EAGLE GROUP to professional customers. They are supplemented by the End-User Licence Agreement (EULA) delivered with the software, which alone governs the conditions of use of the software; in the event of contradiction on a point of use, the EULA prevails. Placing an order implies unreserved acceptance of these terms, which prevail over any purchase conditions of the customer unless expressly agreed otherwise in writing.

02Products

GeoMate is a geoscience data management platform comprising a Windows desktop application, an Android field application, a read-only web companion and optional server components. It is marketed in three editions — Standard, Professional and Enterprise — whose respective scopes are described on the Editions page. Licences are granted per named seat, non-exclusive and non-transferable.

03Free trial

A trial request gives access to a licence key valid for fourteen (14) days, for evaluation purposes only, to the exclusion of any production use. The trial is free, entails no purchase obligation and expires automatically at the end of the period without notice or tacit renewal. The publisher may refuse or terminate a trial in the event of abuse, in particular repeated requests intended to extend the evaluation period.

04Quotations and orders

Prices are available on request and set out in a personalised quotation. The configurator on this site produces an indicative estimate only and does not constitute an offer. A quotation is valid for thirty (30) days from issue and becomes binding only once returned signed by the customer or confirmed by a purchase order, and acknowledged by the publisher.

05Prices and payment

Prices are quoted exclusive of tax in the currency stated on the quotation; taxes and duties applicable at the date of invoicing are added. Unless otherwise agreed, invoices are payable within thirty (30) days of issue by bank transfer. Any late payment automatically gives rise, without prior formal notice, to late-payment interest calculated at the legal interest rate in force in Côte d’Ivoire, as set each year by order of the Minister for the Economy and Finance, and entitles the publisher to suspend the activation of licences and access to support until the situation is regularised.

06Delivery and activation

Licences are delivered electronically: the licence keys and the installer download link are sent to the email address stated on the order, normally within two (2) business days of the order being confirmed — and, for a trial, as soon as the request has been validated. No physical medium is supplied. It is the customer’s responsibility to check that their environment meets the technical prerequisites published on this site before ordering.

07Right of withdrawal

Sales are concluded with professional customers acting for business purposes: the right of withdrawal applicable to consumers does not apply. The fourteen-day free trial is specifically intended to allow the product to be evaluated before any commitment.

08Support and updates

Each active licence includes corrective maintenance and access to versions published during its term, under the conditions of the edition subscribed. Support is provided by email in French and English during business hours in Abidjan. Migration to a new major version, on-site work, training and specific developments are the subject of a separate quotation.

09Customer data

GeoMate is local-first: the customer’s geoscience databases are created and stored on the customer’s own infrastructure and remain their exclusive property at all times. The publisher has no access to them, save at the customer’s express request in the context of a support operation, and then only for the time strictly necessary. It is the customer’s responsibility to back up their databases and to keep their licence keys secure.

10Warranty and professional responsibility

The publisher warrants that the software materially conforms to the documentation supplied and undertakes to correct any reproducible defect reported during the licence term. GeoMate is a data management, validation and analysis tool: it does not replace the professional judgement of the geologist or of the competent person. The publisher gives no warranty as to geological interpretations, resource estimates or reports produced with the software, whose review, validation and public disclosure remain the sole responsibility of the customer and of the qualified persons it appoints, in accordance with the applicable reporting codes.

11Limitation of liability

The publisher’s liability is limited to direct damage established and, in aggregate, to the amounts actually paid by the customer under the licence concerned during the twelve (12) months preceding the triggering event. Indirect damage — in particular loss of operation, loss of opportunity, loss of data attributable to a failure to back up, or commercial harm — is excluded. Nothing in this clause limits liability in the event of wilful misconduct or gross negligence.

12Term and termination

Licences are granted for the term stated on the quotation. Either party may terminate for material breach by the other, thirty (30) days after formal notice has remained without effect. On termination, the right of use ceases; the customer retains its databases, which are held on its own infrastructure and remain readable in their native formats.

13Force majeure

Neither party may be held liable for a failure resulting from an event of force majeure within the meaning of the applicable law, in particular an interruption of telecommunications networks, of electricity supply or of the hosting infrastructure. Obligations are suspended for the duration of the event; should it persist for more than sixty (60) days, either party may terminate without indemnity.

14Governing law and jurisdiction

These terms are governed by the law of Côte d’Ivoire. The parties undertake to seek an amicable settlement of any dispute before any legal action. Failing agreement within thirty (30) days, jurisdiction is expressly conferred on the Commercial Court of Abidjan (Tribunal de commerce d’Abidjan), notwithstanding plurality of defendants or third-party proceedings.
